Online Business/Company Registration in Cambodia

May 18, 2026

Company registration in Cambodia is conducted through the CamDX Platform, an integrated online business registration system administered by the Ministry of Economy and Finance (MEF). The platform streamlines the incorporation process by coordinating registration requirements across several government authorities, including the Ministry of Commerce (MoC), the General Department of Taxation (GDT), and the Ministry of Labour and Vocational Training (MLVT). The online registration facilitates a more efficient and convenient process for both local and foreign business entrepreneurs.
Tip Takeaways
• Shareholders may consider 3 major phases: before registration preparation, CamDX online platform Registration, and after registration compliance with various governmental authorities.
• Cambodia incorporation, companies are required to comply with basic laws & regulations, especially taxation, accounting, labour, and social security obligations.
• Foreign investors are permitted to hold ownership interests in most business sectors, with relatively limited restrictions imposed on capital repatriation and foreign exchange transactions.
The company registration process through CamDX generally involves several key stages.
1-Create a CamDX Account
The applicant is required to create a user account on the CamDX platform, with registration and authentication typically completed through the CamDigiKey system.
2-Reserve the Company Name
The proposed company name must be submitted in Khmer, with an optional English translation. The system automatically verifies the availability of the proposed name and its compliance with Cambodian naming regulations. Once approved, the company name is reserved for a period of two weeks.
3-Prepare the Required Documents
The applicant must prepare and upload the required incorporation documents. These commonly include the Articles of Incorporation, identification documents of shareholders and directors, proof of the registered office address, details of the shareholding structure, and the relevant business activity classifications (SIC codes).
4-Selection of an Appropriate Business Entity
The initial stage involves determining the most appropriate legal structure for the business. The available business entity options include:
• Sole proprietorship
• Partnership
• Limited liability company (LLC):
o Private limited company
o Public limited company
o Single-member private limited company
• Representative office
• Branch of a foreign company

5-Complete the Online Application
Following document preparation, the applicant must complete the online incorporation application through the CamDX portal. Information relating to shareholders, directors, capital structure, and business activities must be accurately provided. Registration fees are subsequently paid electronically through the platform.
6-Government Review and Approval
Upon submission, the relevant government authorities review the application and supporting documentation. Once the application is approved, the Ministry of Commerce issues the Certificate of Incorporation electronically through the system. In addition, CamDX facilitates automatic registration with the General Department of Taxation (GDT), and the Ministry of Labour and Vocational Training (MLVT), thereby reducing the need for separate submissions to multiple government agencies.
7- Post-Registration Compliance
After incorporation, the company must comply with several post-registration obligations. These may include opening a corporate bank account, obtaining sector-specific licences where applicable, registering employees with the National Social Security Fund (NSSF), maintaining ongoing tax filing (both Monthly and Annual Tax on Income), and bookkeeping report as compliance obligation.
